The Board of Directors is Eletromidia’s decision-making body responsible for the general direction of the Company’s business and its long-term strategy. It is also responsible, among other attributions, for formulating and monitoring the Company’s general policies, and for appointing and supervising Eletromidia’s directors management decisions. In accordance with Brazilian Corporate Law, the Board of Directors is also responsible for hiring independent auditors.
The Company’s Bylaws establish a number of 7 directors, with 2 (two) or 20% (twenty percent), whichever is greater, of independent directors, as defined by the Novo Mercado Regulation. The members are elected and removable at the General Shareholders’ Meeting, with a unified term of office of 2 (two) years, reelection being permitted.

Mr. Manuel Belmar is the Chief Financial, Infrastructure, and Legal Officer of Globo Comunicação e Participações S/A since 2020, and he have a strong background in media, banking, and finance businesses. From 2009 to 2019, he worked as the Chief Financial Officer of Globosat, and starting in 2017, he also held the position of Chief Operating Officer, encompassing responsibilities for Technology & Engineering, Advertising Sales, and Digital Transformation. Belmar began his career at Banco Real and in 1987, he joined Banca Nazionale del Lavoro in Italy as a Commercial Director. In 2003, he joined the Globo Group as the treasurer of Infoglobo and later became the Chief Financial Officer, eventually being appointed as the CFO of Globosat in 2009. He was a member of the Board of Directors of Canal Brazil and represented Globo with Sky Serviços de Banda Larga Ltda. until 2020 and 2022, respectively. Manzar Feres joined Globo, the largest media group in Latin America, in August 2019, where she designed and led the implementation of a new Commercial strategy during the merger of various companies, including broadcast TV, pay-TV channels, digital platforms, and streaming, into a single media group in 2020. As Globo’s Chief Strategy and Technology Officer, Raymundo Barros oversees all technology areas, including the Media Supply Chain, Broadcast Engineering, Corporate IT, and Digital Products and Platforms. He has led major initiatives such as the transition to digital TV, the creation and distribution of 4K, 4K HDR, and 8K content, the launch of Globoplay, Globo’s streaming service, and the Cloud Migration Program. Raymundo spearheads Globo’s digital transformation strategy, helping the organization transition from a content-centric media company to a Mediatech, where content and technology play leading roles in delivering the strategy. This includes launching an ambitious portfolio of D2C digital products and data monetization initiatives. He was an entrepreneur and sold his stake to multinationals in three companies, such as Digital Stars (acquired by Webedia) and Viber (acquired by Rakuten). He has also worked as a Board Member and Consultant at several companies such as Bernoulli, Zettle, Jovem Pan and Voxus. Paula Bromfman Puppi holds a degree in Civil Engineering from the University of Paraná and has completed extension courses in Business Management at Fundação Getúlio Vargas and Corporate Governance at Harvard Business School. Paula has over 10 years of experience in the digital media, data, and technology market, having worked as a Solution Specialist at Microsoft and served for more than 7 years as CEO of Blinks, a digital-focused agency. She later held roles as Head of Digital Transformation and Chief Transformation Officer at WPP, one of the world’s largest advertising and public relations groups. Paula has also served as a board member at the National Council for Advertising Self-Regulation, the Executive Council for Standard Norms, and the Strategy Committee at Eletromidia, among others.
