Board of Directors

The Board of Directors is Eletromidia’s decision-making body responsible for the general direction of the Company’s business and its long-term strategy. It is also responsible, among other attributions, for formulating and monitoring the Company’s general policies, and for appointing and supervising Eletromidia’s directors management decisions. In accordance with Brazilian Corporate Law, the Board of Directors is also responsible for hiring independent auditors.

The Company’s Bylaws establish a number of 7 directors, with 2 (two) or 20% (twenty percent), whichever is greater, of independent directors, as defined by the Novo Mercado Regulation. The members are elected and removable at the General Shareholders’ Meeting, with a unified term of office of 2 (two) years, reelection being permitted.

Eletromidia’s Board of Directors current members were elected on the Ordinary General Meeting of 04/29/2022.

Rodrigo Brandão Feitosa

Rodrigo has an M.B.A. from INSEAD (Singapore/France) and holds a degree in Business Administration from Fundação Getúlio Vargas (EAESP-FGV), with an extension degree from Vysoka Skola Ekonomicka in Prague and in Law from the University of São Paulo (USP). Rodrigo has over 14 years of experience and 23 completed transactions in the Private Equity industry in Brazil. Since joining H.I.G. Brazil and Latin America, in 2013, and during his previous career, Rodrigo led investments, monitoring and divestments in a variety of sectors, including: information technology, consumer goods, business process outsourcing, retail, internet, media, real estate and healthcare. Rodrigo currently sits on the board of directors of 4 portfolio companies: Grupo NZN, Selfit Academias, Eletromidia and Grupo Meridional. Before joining H.I.G. Capital, Rodrigo was co-founder of Agroshop, a start-up of agricultural products located in the center-west of Brazil. Prior to that, Rodrigo worked for 5 years at Patria’s Private Equity, a company invested in by Blacktone in Latin America. During his time at Patria, he participated in more than 15 transactions, including two of Patria’s most successful investments: Tivit and Grupo Bioritmo. Prior to Patria, Rodrigo worked at Citigroup as a Corporate & Investment Banking analyst.

Débora Mayor Vizeu

Debora holds a Bachelor degree in Business Administration from Fundação Getúlio Vargas and Bachelor of Laws from the University of São Paulo. She works at Eletromidia S.A. as a Member of the Board of Directors and at H.I.G Brasil Assessoria de Investimentos Ltda as an investment professional. Prior to that, she worked as an investment and mergers and acquisitions professional for an investee of Pátria Investimentos and Ártica Participações e Assessoria Financeira Ltda.

Eduardo Azevedo Marques de Alvarenga

Eduardo holds a degree in Electronic Engineering from Instituto Mauá de Tecnologia. He installed the 1st screen in a commercial building elevator in Brazil in 2001, by Novavista, a pioneer company in the segment whose network was acquired by Elemidia in 2004. In the same year, he founded E+ Tech, specializing in the creation and development of technology for POS and outdoor media. In 2007, he returned to the outdoor digital media industry, in partnership with Elemidia, to work in shopping centers and new businesses. Between 2012 and 2013, he took over the digital business director of Grupo Abril. He returned to dedicate himself to Elemidia in March 2013, where he remained until the acquisition of the company by the HIG group, in January 2020, when, after the merger process between the two OOH companies of the group, he became CEO of Eletromidia, a position that he held until he was appointed member of the Company’s Board of Directors and member of the Innovation and Technology Committee, positions he currently holds. He was president of ABOOH (Brazilian Association of Out of Home) in the 2016/2017 and 2017/2018 terms. In total, he has 20 years of experience in the OOH industry.

Fabio Isay Saad

Fábio holds a degree in Business Administration from Fundação Getúlio Vargas de São Paulo (EAESP/FGV), in Law from the University of São Paulo (USP), an MBA from the Wharton School and a Masters in International Studies with a focus on Latin America by the Lauder Institute at the University of Pennsylvania. Born in Brazil, he is fluent in Portuguese, English and Spanish. Director of H.I.G Brasil, Fábio has more than 10 years of experience in the Private Equity market in Latin America and other emerging markets.

Tiago Branco Waiselfisz

Tiago holds a BA in Economics from the Federal University of Pernambuco / School of Economics. He is a member of the Board of Directors of Eletromidia S.A., Desktop S.A. and Office Total S.A. Before joining the H.I.G. in 2016, he worked at Rio Bravo Investimentos, as Private Equity Associate (2014 to 2016), at Grupo Ser Educacional as Valuation and FP&A Manager (2014), and at Ernst & Young, as Valuation Senior Consultant (2011 to 2014).

Luiz Felipe Costa Romero de Barros

Luiz holds a bachelor’s degree in Advertising from the Pontifical Catholic University of Rio de Janeiro and has executive extension courses from ESPM and the Institute for Real Growth. Mr. Luiz has over 15 years of experience in Marketing and is a reference in the areas of Transformation, Data, Digital and Media. He has worked at Fbiz, Acxiom and Philip Morris International, where he held Director positions in the areas of Digital Strategy, Digital Transformation and Innovation. He was an entrepreneur and sold his stake to multinationals in three companies, such as Digital Stars (acquired by Webedia) and Viber (acquired by Rakuten). He has also worked as a Board Member and Consultant at several companies such as Bernoulli, Zettle, Jovem Pan and Voxus. He currently holds the position of Vice President at Inbev and was recognized in 2014 and 2016 by youPix as one of the most influential people on the Brazilian internet, in 2020 by Ad Age as one of the people under 40 who are transforming Marketing in the world and in 2021 by the Leadership Excellence Awards as the main global reference in Data & Analytics.

Paulo Racy Badra

Paulo holds a degree in Engineering and Chemistry from Universidade Presbiteriana Mackenzie. He worked at Engenharia Badra, went through several areas until he took over the Financial Directorship and Presidency, where he remained until 1993. He founded Eletromidia in 1993 and served as Director and President until 2015, when he was elected a member of the Company’s board. The performance of Mr. Paulo was instrumental in the technology development and deployment of digital media in OOH in Brazil. He was president of the Association of Electronic Panel Companies, later serving as Vice-President and President of SEPEX Sindicato das Empresas de Mídia Exterior (out of home media).

 

Fiscal Council

In accordance with Law No. 6404/76 (“Corporate Law”), the Fiscal Council is a corporate body independent of the Company’s management and external auditors, whose main responsibility is to supervise the acts of the managers and analyze the financial statements of the Company, reporting its observations to the shareholders.

Eletromidia’s Fiscal Council is non-permanent and may be installed in any fiscal year if there is a request by shareholders representing at least 2% of common shares, pursuant to CVM Instruction No. 324/00.
The Board will be composed of at least 3 (three) and at most 5 (five) members and an equal number of alternates (shareholders or not), all qualified in accordance with the applicable legal provisions. The members of the Fiscal Council will have a unified term of office of 1 (one) year, and may be reelected.

The current members of Eletromidia’s Fiscal Council were elected on the Ordinary General Meeting of 04/29/2022.

Lucas Salles Ehlers

Mr. Ehlers holds a degree in Accounting from the Fluminense Federal University (UFF), an M.B.A. in Business Administration from FGV-RJ, in addition to having the Brazilian Certified Public Accountant (CRC CVM certification). Mr. Ehlers has been a member, since 2021, of the Value Creation team at H.I.G. Capital, Private Equity fund and leading alternative investment manager with over US$48 billion under management. With over 7 years of experience in corporate finance and accounting, Mr. Ehlers coordinates different restructuring projects in internal controls, accounting, auditing and fixed asset management for the fund’s investees. Before joining H.I.G., Mr. Ehlers served as audit manager at Ernst & Young (E&Y), where he audited large companies in the United States and Brazil belonging to the most varied sectors, such as utilities, telecommunications, technology, automotive, among others.

Luiz Guilherme de Andrade Aubry

Mr. Aubry has an M.B.A. in Corporate Finance and Controllership from Fundação Getulio Vargas (FGV-RJ), in addition to a degree in Business Administration from Ibmec-RJ and in Accounting from Universidade Cândido Mendes (UCAM-RJ). Since 2019, Mr. Aubry serves as a senior on the Value Creation team at H.I.G. Capital, Private Equity fund and leading alternative investment manager with over US$48 billion under management. With more than 7 years of experience in corporate finance and accounting, including three in the Private Equity industry, he coordinates projects for restructuring internal controls and fixed asset management in the fund’s investees. Prior to joining H.I.G, he served as a senior auditor at Ernst & Young (E&Y), focusing on the financial market.

Romulo Carvalho Caputo

Mr. Caputo holds a degree in Economics from the State University of Rio de Janeiro (UERJ) and in Accounting Sciences from the Cândido Mendes University (UCAM). He also holds an M.B.A. Executive in Accounting and Finance from COPPEAD, Federal University of Rio de Janeiro (UFRJ). Mr. Caputo is a founding partner and leader of the auditing and accounting practice in the International Financial Report Standards IFRS at MCS Markup, an external audit and accounting consulting firm with more than 230 employees and offices in four Brazilian states. With 20 years of experience in auditing and accounting consulting, Mr. Caputo served as Senior Audit Manager at PwC, where he stayed for 25 years before joining MCS Markup.

André Gustavo Macedo Simões

Mr. Simões holds a degree in Actuarial Science from the Federal University of Rio de Janeiro (UFRJ) and in Accounting Sciences from the Cândido Mendes University (UCAM), with a Master’s degree in Accounting Sciences from FUCAPE Business School and an M.B.A. in Business Management from Fundação Getúlio Vargas (FGV). He is a registered professional with the Regional Accounting Council (CRC) and the National Registry of Independent Auditors (CNAI). Mr. Simões is a founding partner and CEO of MCS Markup, an external audit and accounting consulting firm with more than 230 employees and offices in four Brazilian states. With more than 16 years of experience in providing external audit, IPO and tax consulting services, Mr. Simões served as a manager at PwC, where he stayed for almost 8 years before founding MCS Markup.

Júlia Martins Clark

Miss Clark holds a degree in Production Engineering from the Pontifical Catholic University of Rio de Janeiro (PUC-Rio), with an extension from Michigan State University (MSU). With over 10 years of experience in the Latin American Private Equity market, Ms. Clark serves as vice president of H.I.G. Capital, Private Equity fund and leading alternative investment manager with over US$48 billion under management. Before joining H.I.G., she worked for 4 years in the Private Equity division of BTG Pactual, being responsible for managing and monitoring the group’s companies, such as Leader Magazine, Leader Card and Coobo. Before that, Ms. Clark headed the Investor Relations (IR) department at PDG Realty, being awarded for two consecutive years as the best IR professional (Institutional Investor: All Latin America Executive Team).

Lee Bozzola Borges

Miss Borges holds a degree in Economics from Fundação Getulio Vargas (EPGE/FGV). Miss Borges has been a member, since 2019, of the Value Creation team at H.I.G. Capital, Private Equity fund and leading alternative investment manager with over US$48 billion under management. With experience in corporate finance and internal controls, Ms. Borges leads H.I.G.’s proprietary PEx Excellence Program, which seeks to align the processes and internal controls (especially those relating to the controlling and treasury areas) of the fund’s investees to the best market practices.
